Project Description:
The project supports Ukraine’s security and stabilisation efforts. It focusses on working with civilian and military actors, which are most exposed to the adverse effects of war. The project incorporates several distinct workstreams that contribute to the SSSP strategic objectives of building resilience of Ukrainian security actors and civilians in the face of the Russian aggression. Topics include procurement, mental health and psychosocial support, and security planning and delivery.
About the Work:
The Project Lawyer will provide the project team with expert legal support across a range of activities, including procurement of goods and services, drafting and review of grant agreements, consultancy contracts, and other legal documents. The lawyer will ensure that all project activities are conducted in full compliance with applicable Ukrainian legislation, donor requirements, and international standards.
Key Responsibilities:
Procurement Legal Support
- Provide legal advice and review in relation to the procurement of goods and services in the defence and security sector, ensuring compliance with Ukrainian public procurement legislation (including the Law of Ukraine on Public Procurement / ProZorro requirements) and applicable donor regulations.
- Draft, review, and finalise procurement contracts, framework agreements, purchase orders, and related documentation.
- Advise on sector-specific procurement restrictions, licensing requirements, and regulatory obligations applicable to defence and security-related goods and services.
- Support procurement planning by identifying legal risks and recommending mitigation strategies.
- Liaise with counterparts, suppliers, and relevant authorities on procurement-related legal matters as required.
Grant Agreement Support
- Draft, review, and negotiate grant agreements, sub-grant agreements, memoranda of understanding, and related legal instruments.
- Ensure grant documentation complies with Ukrainian civil and commercial law, donor requirements, and the project’s internal policies and procedures.
- Advise on eligibility criteria, allowable costs, reporting obligations, intellectual property, and other standard and special grant conditions.
- Review grant recipient documentation and provide legal due diligence assessments as required.
Consultancy Contracts
- Draft and review individual and institutional consultancy contracts, including terms of reference, service agreements, and amendments.
- Advise on the classification of consultants (individuals vs. firms), tax implications, and regulatory requirements under Ukrainian law.
- Support the management of contractual disputes, performance issues, or early termination processes, as required.
General Legal Support and Compliance
- Conduct legal analysis and prepare written opinions, briefing notes, and memoranda on issues arising in the course of project implementation.
- Monitor changes in relevant Ukrainian legislation (procurement, NGO regulation, civil/commercial law, defence sector regulations) and advise the project team on implications.
- Support the project’s compliance with anti-corruption, anti-money laundering, and sanctions screening obligations.
- Assist with the legal aspects of project registration, accreditation, and liaison with Ukrainian governmental authorities as needed.
- Review and provide legal input on project policies, internal procedures, and operational guidelines.
- Provide ad hoc legal advice to the project team on issues arising from day-to-day operations.
Qualifications and Requirements:
Education
- University degree (Bachelor’s or higher) in Law.
Professional Experience
- Minimum 3 years of professional legal experience, including demonstrated work on international technical assistance, development, or donor-funded projects in Ukraine.
- Proven experience as a project or organisational lawyer within international technical assistance programmes (e.g. EU, USAID, UN agencies, World Bank, or similar).
- Substantive experience in the defence and security sector, including familiarity with sector-specific legal and regulatory frameworks in Ukraine.
- Demonstrated experience in drafting and reviewing public and/or commercial procurement contracts and advising on procurement procedures.
- Experience with grant agreement preparation, management, and compliance.
- Track record of drafting and reviewing consultancy and service contracts.
Technical and Legal Knowledge
- Strong knowledge of Ukrainian civil and commercial law, contract law, and administrative law.
- Thorough understanding of Ukrainian public procurement legislation, including the Law of Ukraine on Public Procurement and the ProZorro e-procurement system.
- Familiarity with defence and security sector procurement regulations, licensing, and export control requirements under Ukrainian law.
- Knowledge of Ukrainian NGO law, grant regulations, and the legal framework governing foreign assistance in Ukraine.
- Understanding of donor compliance frameworks (EU Financial Regulations, USAID regulations, UN procurement rules, or equivalent) is a strong asset.
- Knowledge of anti-corruption legislation, conflict-of-interest requirements, and beneficial ownership disclosure obligations in Ukraine.
- Familiarity with sanctions regimes and their implications for project operations (EU, US OFAC, UN) is an advantage.
Skills and Competencies
- Excellent legal drafting and document review skills in both Ukrainian and English.
- Ability to analyse complex legal issues and communicate findings clearly and concisely to non-legal audiences.
- Strong attention to detail and commitment to accuracy and compliance.
- Ability to manage multiple priorities and deliver within tight deadlines.
- High degree of professional integrity and ethical standards.
- Proactive, solutions-oriented approach with the ability to work independently with minimal supervision.
- Proficiency in standard office software (MS Word, Excel, document management systems).
- Familiarity with digital procurement platforms (ProZorro or equivalent) is an asset.
Language Requirements
- Ukrainian: Fluent (native or near-native proficiency) — mandatory.
- English: Fluent (C1 level or equivalent) — mandatory. The candidate must be able to draft, review, and negotiate legal documents in English.
