Deloitte is seeking a qualified candidate for the USAID State-Owned Enterprises Reform Activity in Ukraine (Ukraine SOERA) to serve as a SOE Management lawyer supporting the State Property Fund of Ukraine (SPFU).  The position is full-time/remote but requires a location in Ukraine.

Project Background and Summary:

The purpose of Ukraine SOERA is to strengthen public sector business operations and transparency, improving governance and oversight, advancing privatization of State-Owned Enterprises (SOE), and developing a strategic management model for SOEs remaining in state ownership. Smart reform and targeted privatization of Ukraine’s SOEs will reduce opportunities for corruption, increase private sector participation, and stimulate broad-based economic growth. Objectives to be achieved by this activity will include:

1. SOE Mapping, Information, and Strategy.
2. Reform Coordinating Mechanism (RCM) and Strategic Communications.
3. Reviewing and Improving SOE Policies, Legislation, and Regulations.
4. Facilitating SOE Privatization.
5. Improving Corporate Governance and Management of SOEs.
6. Providing Emergency Response and Recovery Preparation Technical Assistance to the Government of Ukraine (GOU) and SOEs.

Objective:

The SPFU manages over 2,000 enterprises, most of which will eventually be privatized, liquidated or put into bankruptcy.  SOE management requires an analysis of the legal issues of the SOEs in the SPFU portfolio and the development of solutions to permit effective management and further privatization of these SOEs.

Responsibilities:

• Analyze the legal issues of SOEs in the SPFU portfolio and slated for transfer to the SPFU that are necessary for the determination of whether the SOEs should stay in state ownership; be privatized, liquidated, or put into bankruptcy; how they could be restructured or merged with other SOEs
• Provide recommendations to the SPFU on courses of action for individual SOEs
• Monitor the implementation of these recommendations.

Tasks will include:

• Analysis of compliance with corporate governance standards
• Review of SOE legal documents, including charters, internal policies and procedures, regulatory filings
• Analysis of related party transactions and potential conflicts of interest
• Identification of legal issues that need to be resolved to manage, privatize, or liquidate the SOEs and plans of action for resolving those issues
• Support on developing ways to restructure the SOEs, including PPPs and concessions
• Analyzing and reporting on SOE contracts with third parties
• Preparation of reports and presentations for SPFU leadership and other GOU stakeholders
• Working with other SOE managing entities and GOU stakeholders.

Position Requirements:

• University Law Degree
• Knowledge of Ukrainian enterprise law, with an emphasis on state enterprises, joint stock companies, corporate governance, and SOE reform-related legislation
• Experience in the relevant position for more than 5 years
• Legal writing expertise
• Fluent written and oral Ukrainian and English
• Excellent planning and time management skills
• Experience in working with governmental organizations
• Experience in technical assistance work is preferred.
